1. About Heron

Heron is an AI-powered marketing assistant that helps users identify and engage with relevant conversations on social platforms. The service is operated by w32r. In these Terms, "Heron", "we", "us", and "our" refer to w32r, and "you" refers to any individual or entity accessing or using the service.

By creating an account or using Heron, you agree to be bound by these Terms. If you do not agree, you may not use the service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Heron. By using the service, you represent that you meet these requirements. Accounts registered on behalf of a company or organization bind that entity to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at team@heronai.one if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

You may not share your account with others or create multiple accounts to circumvent usage limits or paid features.

4. Acceptable Use

When using Heron, you agree not to:

• Use the service for any unlawful, deceptive, abusive, or infringing purpose.
• Harass, threaten, or impersonate any person or entity.
• Generate or distribute spam, misinformation, or content that violates the policies of third-party platforms you interact with.
• Attempt to reverse engineer, scrape, or extract the underlying models, algorithms, or data pipelines of the service.
• Bypass or circumvent any service limits, rate limits, or payment controls.
• Use the service to build a competing product or service without our prior written consent.
• Upload or transmit malicious code, viruses, or any content designed to interfere with the service.

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice.

5. Intellectual Property

All rights, title, and interest in and to the Heron platform, including its software, design, models, and brand assets, are owned by or licensed to w32r. Nothing in these Terms transfers any intellectual property rights to you.

Content you provide to Heron (such as context, goals, and instructions) remains yours. You grant us a limited, non-exclusive license to process that content solely to deliver and improve the service.

6. AI-Generated Content

Heron uses large language models to generate suggestions, replies, and analysis. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or inappropriate in certain contexts.
• You are solely responsible for reviewing, editing, and approving any content before publishing it.
• We do not guarantee that AI outputs will achieve any specific marketing outcome.

7. Third-Party Platforms

Heron interacts with third-party platforms such as X (formerly Twitter). Your use of those platforms is governed by their own terms of service. We are not responsible for changes to third-party APIs, policies, or availability that affect the functionality of Heron.

8. Billing and Access

Access to paid features is granted upon successful payment. Entitlements are tied to the purchased plan or one-time purchase (such as Founder Pass). Refund eligibility and conditions are defined in our separate Refund Policy.

We reserve the right to change pricing at any time. Existing paid access is not affected until the end of the current billing period. Holders of Founder Pass are entitled to the lowest price offered at the time of any future payment, regardless of pricing changes.

9. Disclaimers

The service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, w32r and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the service, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Termination

You may stop using Heron and close your account at any time by contacting team@heronai.one. We may suspend or terminate your access at any time for violation of these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will remain in effect.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. Continued use of the service after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you via email or in-product notice.

13. Governing Law

These Terms are governed by applicable law. Any disputes arising out of or related to these Terms or the service shall be resolved through good-faith negotiation first. If resolution cannot be reached, disputes shall be subject to binding arbitration or the jurisdiction mutually agreed upon by both parties.
